Vendor Terms

By opening a vendor account on Listoq, you ("Vendor", "you") agree to these Vendor Terms. They form a binding agreement between you and Listoq ("we", "us", "our").

• Be at least 18 years old and legally able to enter contracts in Uganda.
• Have a registered business or valid trading licence.
• Have a physical address in Uganda — except service providers, who must have a defined coverage area.
• Hold all licences required for your category (for example an NDA licence for a pharmacy, or a hygiene certificate for a kitchen).
• Provide a valid mobile money or bank account in your own name for payouts.

We review documents within 24–48 hours. Falsified or expired documents lead to immediate account termination and possible legal action.

Commission is calculated on:

• Item subtotal, excluding delivery fee and service fee.
• After any discount you applied.
• Before VAT or any statutory deductions.

No hidden fees. We never charge setup fees, listing fees, monthly subscriptions, or fees for cancelled orders that you did not fulfil.

An order becomes eligible for payout when:

1. 1The rider marks it as delivered, and
2. 2The customer has not disputed within 48 hours, or any dispute has been resolved in your favour.

You are responsible for your taxes. Listoq does not withhold income tax or VAT on your behalf. You must report and pay taxes according to Uganda Revenue Authority rules. Payout timing above is our target and depends on your bank or mobile money operator; per-order payout records are visible in your dashboard.

• Provide accurate product descriptions, photos and prices.
• Keep stock levels current, and mark items as unavailable when they run out.
• Accept or reject orders within 3 minutes during your opening hours.
• Prepare orders within the stated preparation time.
• Package items safely, and discreetly for a pharmacy.
• Respond to customer messages within 15 minutes.
• Honour the prices and offers you list.
• Comply with all applicable Ugandan laws, including health, safety and consumer protection.
• Maintain the licences required for your category.

• Illegal drugs and controlled substances without prescription.
• Weapons, ammunition, and explosives.
• Counterfeit, stolen, or smuggled goods.
• Live animals, except through approved partners.
• Human blood, tissue, or organs.
• Adult content or services.
• Pyrotechnics and hazardous chemicals.

Immediate termination. Listing prohibited items leads to permanent account termination, forfeiture of pending payouts, and reporting to authorities where required.

We may send coaching, reduce your visibility in search, or pause your storefront if metrics stay in the "Warning" band for more than 30 days.

How disputes are handled:

1. 1Customer submits a dispute with evidence (photos, description).
2. 2Our operations team reviews it and may request input from you.
3. 3We decide within 24 hours.
4. 4If the dispute is upheld, the affected amount is refunded to the customer and deducted from your next payout.

You can respond to any dispute. Upload evidence in your vendor dashboard. We weigh both sides fairly before deciding.

When we refund without asking you

In rare cases — for example, an item was clearly never delivered despite being marked so — we may refund the customer first and deduct from your payout without prior review.

You may close your vendor account at any time. Pending payouts are settled within 14 days after closing.

• Falsify documents or product listings.
• List prohibited items.
• Repeatedly fail to meet quality metrics.
• Engage in fraud, abuse, or harassment.
• Manipulate ratings or reviews.
• Contact customers off-platform to bypass Listoq commissions.

You are fully responsible for the products and services you sell, including their legality, safety, quality, and any harm they cause.

Listoq acts as a marketplace connecting you with customers. We are not the seller and do not inspect goods. We are not liable for direct losses arising from your products or services, except where required by Ugandan law.

These Vendor Terms are governed by the laws of the Republic of Uganda. Any dispute will be resolved first through good-faith negotiation, and if unresolved, through the courts of Uganda.
